These Terms & Conditions govern access to and use of the Patient Acquired website, platform, technology, products, and services.

These Terms & Conditions (“Terms”) constitute an agreement between you and Patient Acquired (“Patient Acquired,” “we,” “us,” or “our”) concerning your access to and use of our website, platform, software, products, features, and related services (collectively, the “Services”).

By accessing or using the Services, creating an account, purchasing a subscription, or otherwise using Patient Acquired, you agree to be bound by these Terms.

If you are using the Services on behalf of a healthcare practice, company, or other organization, you represent that you have authority to bind that organization to these Terms.

01 Acceptance of Terms

By accessing or using the Services, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy.

If you do not agree with these Terms, you should not access or use the Services.

02 Eligibility & Account Registration

You must be legally capable of entering into a binding agreement and, when acting on behalf of an organization, authorized to do so.

You agree to provide accurate and complete account information and to keep that information current.

You are responsible for safeguarding login credentials and for activity that occurs through your account or authorized users.

03 Patient Acquired Services

Patient Acquired may provide technology and functionality designed to support healthcare-practice operations, including:

  • AI-assisted patient and lead engagement
  • Automated follow-up workflows
  • Appointment scheduling and reminders
  • Lead and opportunity pipeline management
  • Patient or lead reactivation workflows
  • Reputation management functionality
  • SMS, email, telephone, and other communications
  • Reporting, automation, integrations, and related technology

Features may vary depending on subscription level, configuration, integrations, and third-party availability.

04 Subscriptions, Fees & Billing

Certain Services may require payment of subscription fees, usage charges, setup fees, or other amounts disclosed at the time of purchase or in an applicable order, proposal, or agreement.

By providing a payment method, you authorize applicable charges associated with your subscription and use of the Services.

Unless otherwise stated in a separate written agreement, subscriptions may renew according to the billing cycle selected at purchase.

Usage-based services, including communications or other third-party functionality, may result in charges separate from recurring subscription fees.

Pricing, billing cycles, cancellation rights, refunds, free trials, and renewal terms should match the actual commercial terms displayed during signup or stated in your applicable service agreement.

05 Customer Responsibilities

Customers are responsible for their use and configuration of the Services, including the activities of authorized users.

Customers are responsible for:

  • Providing lawful and accurate information
  • Maintaining account security
  • Using appropriate workflows and configurations
  • Obtaining required permissions and consents
  • Following applicable healthcare and communications laws
  • Maintaining appropriate internal policies and procedures
  • Determining whether particular features are appropriate for their use

06 Healthcare Information & HIPAA

Patient Acquired provides technology to healthcare-related businesses, but the Services are not themselves medical care.

Where Patient Acquired is required to act as a business associate under the Health Insurance Portability and Accountability Act (“HIPAA”), handling of Protected Health Information (“PHI”) may also be governed by an applicable Business Associate Agreement (“BAA”).

Not every feature, integration, communications channel, or third-party service should automatically be assumed to be appropriate for PHI.

Customers are responsible for determining which configurations, integrations, and workflows are appropriate for regulated healthcare information.

07 Artificial Intelligence & Automated Features

Certain Services may use artificial intelligence or automated technology to assist with conversations, lead engagement, qualification, follow-up, scheduling, workflow automation, content generation, and related functions.

Automated or AI-generated output may not always be complete, accurate, or appropriate for every situation.

Customers remain responsible for reviewing and configuring automated features appropriately for their organizations.

Patient Acquired's AI functionality is not intended to independently provide medical diagnoses, medical treatment recommendations, emergency assistance, or clinical decision-making.

08 SMS, Email, Voice & Communications

The Services may enable customers to send or receive SMS messages, emails, telephone calls, voicemail, automated messages, and other communications.

Customers are responsible for complying with laws and regulations applicable to their communications, including obtaining any consent or authorization required before contacting an individual.

Customers are also responsible for honoring applicable opt-outs, unsubscribe requests, and communication preferences.

09 Acceptable Use

You may not use the Services to:

  • Violate applicable law or regulation
  • Send unlawful, deceptive, fraudulent, or abusive communications
  • Access accounts or systems without authorization
  • Upload malicious software or harmful code
  • Interfere with the security or operation of the Services
  • Misrepresent your identity or organization
  • Infringe intellectual property or privacy rights
  • Use the Services to facilitate unlawful discrimination or wrongdoing
  • Attempt to reverse engineer or improperly copy protected technology

We may restrict or suspend access when we reasonably believe the Services are being used unlawfully, abusively, or in violation of these Terms.

10 Third-Party Services & Integrations

The Services may integrate with or rely upon third-party platforms, communications providers, payment processors, artificial intelligence providers, hosting providers, or other technology services.

Third-party products and services are governed by their own terms, privacy practices, availability, and policies.

Patient Acquired does not control all aspects of third-party services and is not responsible for changes, interruptions, or actions attributable solely to those providers.

11 Intellectual Property

Patient Acquired and its licensors retain all applicable rights in and to the Services, website, software, branding, interfaces, designs, documentation, and related materials.

Except for the limited right to use the Services under these Terms, no ownership rights are transferred to customers or users.

Patient Acquired trademarks, names, branding, and other proprietary materials may not be used without appropriate authorization.

12 Customer Content & Data

Customers retain their applicable rights in information, content, data, and materials they submit to the Services.

Customers authorize Patient Acquired and applicable service providers to process such information as reasonably necessary to provide, secure, maintain, and support the Services.

Customers represent that they have the rights, permissions, and lawful basis necessary to provide information submitted through the Services.

13 Privacy

Our collection, use, disclosure, and protection of personal information is described in our Privacy Policy.

Use of the Services is also subject to any additional data-protection terms or Business Associate Agreement applicable to the customer relationship.

14 Service Availability & Modifications

We may periodically modify, update, improve, suspend, or discontinue features of the Services.

We do not guarantee that every feature or third-party integration will remain continuously available.

Scheduled maintenance, provider outages, internet disruptions, telecommunications issues, or events outside our reasonable control may affect availability.

15 Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

Patient Acquired does not guarantee specific patient acquisition, appointment volume, lead conversion, revenue, reviews, search rankings, business outcomes, or other results.

Results depend on factors outside Patient Acquired's control, including lead quality, market conditions, customer practices, staffing, pricing, patient behavior, configuration, implementation, and usage.

16 Limitation of Liability

To the maximum extent permitted by applicable law, Patient Acquired and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the Services.

Any applicable aggregate liability limitation should be interpreted subject to governing law and any separate written agreement between Patient Acquired and the customer.

17 Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Patient Acquired and its affiliates from claims, liabilities, damages, losses, or expenses arising from your unlawful use of the Services, violation of these Terms, or infringement of third-party rights.

18 Suspension & Termination

You may discontinue use of the Services subject to applicable subscription, billing, cancellation, and contractual obligations.

We may suspend or terminate access where reasonably necessary because of nonpayment, material breach of these Terms, unlawful activity, security concerns, misuse, or other circumstances permitted by law or an applicable agreement.

Provisions that by their nature should survive termination may continue after the account or subscription ends.

19 Governing Law & General Terms

These Terms will be governed by the law specified in the applicable customer agreement or, if no separate written agreement applies, the law designated in Patient Acquired's finalized Terms.

If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

Our failure to enforce a provision does not constitute a waiver of that provision.

We may update these Terms periodically to reflect changes in the Services, business practices, or applicable requirements.
